Dangote Refinery Secures $2.5bn Equity Investment After Offer Draws Massive Investor Interest

Dangote Petroleum Refinery and Petrochemicals has successfully concluded a landmark $2.5 billion private equity placement after attracting investor demand that exceeded the initial offer by more than three times.

The company announced the development in a statement on Thursday, describing the transaction as one of the most significant milestones in its long-term financing strategy and the largest publicly disclosed primary equity private placement ever undertaken in Africa by value.

According to the statement, the equity offering recorded an impressive subscription rate of 3.7 times the original offer size, resulting in the issuance and allotment of approximately $2.5 billion in new equity.

“Dangote Petroleum Refinery and Petrochemicals FZE (“DPRP” or the “Enterprise”) today announces the successful completion of its landmark Private Placement, which achieved 3.7 times subscription relative to the initial offer size and resulted in the issuance and allotment of approximately US$2.5 billion in new equity.

“This transaction is believed to be Africa’s largest publicly disclosed primary equity private placement by value,” the company stated.

The refinery explained that the exercise represents its first major equity capital raise involving external investors beyond its traditional shareholder base.

It added that the transaction reflects growing investor confidence in both the company and the broader prospects of Africa’s capital markets.

“The offering marks a significant milestone in advancing its long-term funding strategy and the continued development of African capital markets,” the statement added.

According to the company, funds realised from the equity placement will be deployed to support the continued expansion of the refinery and petrochemical complex, reinforce its capital structure and provide additional financial flexibility for future growth initiatives.

Dangote Petroleum Refinery also disclosed that the transaction attracted participation from a broad mix of international and African institutional investors, sovereign-linked investment entities, development finance institutions and strategic partners.

Among the notable participants were the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank), alongside several institutional and individual investors.

The company said the strong participation demonstrated widespread confidence in its long-term business strategy.

According to the statement, the involvement of these investors “underscores deep and diversified market confidence in DPRP’s long-term strategy.”

Commenting on the successful capital raise, the President and Chief Executive Officer of Dangote Industries Limited and Chairman of Dangote Petroleum Refinery and Petrochemicals, Aliko Dangote, described the transaction as an important step toward broadening the company’s ownership structure while strengthening its financial position.

He explained that the additional capital would complement internally generated funds and existing external financing arrangements as the company continues implementing its expansion plans.

“The private placement is a strategic step to deepen and further institutionalise the Enterprise’s shareholder base, while raising capital to complement our internal cash flows and external funding, as DPRP advances its expansion agenda,” Dangote said.

He added that the investment further demonstrates the company’s commitment to boosting Africa’s refining capacity and reducing the continent’s dependence on imported petroleum products.

“This further demonstrates our profound commitment to developing domestic refining and petrochemical capacity – reducing Africa’s reliance on imported refined products and strengthening the continent’s energy security,” he stated.

The Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, David Bird, also welcomed the outcome of the transaction, attributing the overwhelming investor response to confidence in the refinery’s operational performance and leadership.

“The exceptional demand we saw is a testament to our operational excellence, execution capacity, and investor confidence in DPRP’s leadership,” Bird said.

The company expressed optimism that the successful equity raise would accelerate the execution of its long-term growth strategy while enhancing Africa’s energy security through increased refining and petrochemical production.

Located in Lagos, the Dangote Petroleum Refinery has a refining capacity of 650,000 barrels of crude oil per day, making it one of the largest single-train refineries in the world.
